+

+## Preamble
+
+This license governs the use of the FRACTAL protein structure prediction system, including all models, source code, training scripts, inference engines, documentation, and associated materials (collectively, the "Software"). Fractal Labs is committed to advancing scientific research while ensuring responsible deployment of biological prediction technologies.
+
+## 1. Definitions
+
+**"Commercial Use"** means any use of the Software that is primarily intended for or directed toward commercial advantage or monetary compensation, including but not limited to:
+- Integration into commercial products or services
+- Use in fee-based consulting or contract research
+- Internal use by for-profit entities for product development
+- Use in drug discovery, therapeutic development, or biotechnology commercialization by for-profit organizations
+
+**"Non-Commercial Use"** means use for academic research, education, personal learning, or open-source development without commercial intent or compensation.
+
+**"Deployment"** means making the Software available for use by third parties, whether through web services, APIs, desktop applications, or any other distribution mechanism.
+
+**"Output"** means any predictions, structures, constraints, or derivative data generated by the Software.
+
+## 2. Grant of License
+
+### 2.1 Non-Commercial Use
+
+Subject to the terms and conditions of this License, Fractal Labs hereby grants you a worldwide, royalty-free, non-exclusive, non-transferable license to:

+- Use, reproduce, and modify the Software for Non-Commercial Use
+- Train, fine-tune, or adapt models using the provided code for academic research
+- Generate Outputs for educational, research, or personal purposes
+- Share and distribute modified versions under this same License for Non-Commercial Use
+- Publish research results, papers, or educational materials derived from the Software
+
+### 2.2 Commercial Use Restrictions
+
+**Commercial Use and Deployment of the Software is strictly prohibited** under this License. Any Commercial Use requires a separate commercial license from Fractal Labs.
+
+If you wish to:
+- Deploy the Software in a commercial product or service
+- Use the Software for internal research and development at a for-profit organization
+- Incorporate the Software into proprietary systems
+- Utilize the Software for drug discovery, protein engineering, or therapeutic development with commercial intent
+- Offer the Software as a service to third parties

+### 2.3 Academic and Research Institution Exemption
+
+Accredited academic institutions, non-profit research organizations, and government research laboratories may use the Software for internal research purposes without a commercial license, provided that:
+- The use furthers academic research, education, or public-sector scientific advancement
+- Results are published in open scientific literature or used for educational purposes
+- The Software is not used to provide services to for-profit entities under paid agreements

+## 3. Prohibited Uses
+
+You may not use the Software for:
+
+### 3.1 Harmful Applications
+- Designing biological weapons, toxins, or agents intended to cause harm
+- Engineering pathogens with enhanced virulence or transmissibility
+- Creating proteins intended for malicious purposes or biosecurity threats
+- Any application that violates international biosafety regulations or dual-use research guidelines
+
+### 3.2 Unethical Research
+- Circumventing established ethical review processes for biological research
+- Research that violates the principles of responsible conduct of research
+- Applications that contravene institutional biosafety committee approvals
+
+### 3.3 Misrepresentation
+- Misrepresenting the capabilities, accuracy, or validation status of the Software
+- Making clinical, diagnostic, or therapeutic claims without appropriate regulatory approval and validation
+- Presenting Outputs as clinically actionable without proper experimental validation
+
+## 4. Disclaimer of Warranties and Limitation of Liability
+
+### 4.1 No Warranty
+
+THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

+Fractal Labs makes no representations or warranties regarding:
+- The accuracy, reliability, or completeness of predictions
+- The suitability of the Software for any particular application
+- The absence of errors, bugs, or defects
+- The biological validity of generated structures
+
+### 4.2 No Liability for Outputs
+
+**FRACTAL LABS IS NOT RESPONSIBLE FOR ANY OUTPUTS GENERATED BY THE SOFTWARE.** Users are solely responsible for:
+- Validating predictions through appropriate experimental methods
+- Ensuring compliance with applicable biosafety and biosecurity regulations
+- Conducting appropriate risk assessments for any downstream applications
+- Any consequences arising from the use of Outputs in research or applications

+### 4.3 Limitation of Liability

+IN NO EVENT SHALL FRACTAL LABS, ITS AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE OR OUTPUTS GENERATED THEREBY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

+### 5.2 Derivative Works
+
+Derivative works and modifications must:
+- Clearly indicate modifications made to the original Software
+- Retain all copyright notices and license terms
+- Be distributed under this same License for Non-Commercial Use
+- Not use "FRACTAL" or "Fractal Labs" branding without written permission

+## 6. Open Source Dependencies
+
+The Software incorporates or depends upon third-party open-source components, including ESM-2 (MIT License), PyTorch (BSD License), and others. Users must comply with the respective licenses of all dependencies. The ESM-2 model is licensed under the MIT License by Meta AI Research and must be cited appropriately.

+## 7. Data Privacy and Security
+
+Users are responsible for:
+- Ensuring compliance with data protection regulations (GDPR, CCPA, etc.) when processing protein sequences
+- Implementing appropriate security measures for any deployment
+- Not submitting confidential, proprietary, or sensitive sequences without proper authorization
+
+## 8. Term and Termination
+
+### 8.1 Term
+
+This License is effective upon your acceptance and continues until terminated.
+
+### 8.2 Termination
+
+This License terminates automatically if you:
+- Violate any terms of this License
+- Use the Software for Commercial Use without obtaining a commercial license
+- Engage in Prohibited Uses as defined in Section 3
+
+Upon termination, you must:
+- Cease all use of the Software immediately
+- Delete or destroy all copies of the Software in your possession
+- Discontinue distribution of any derivative works
+
+### 8.3 Survival
+
+Sections 4 (Disclaimer and Limitation of Liability), 5 (Attribution), and 10 (General Provisions) survive termination.
