+Midea Model License Agreement - Non-Commercial Use Version
+1. Definitions
+"This Model" refers to the whole, including but not limited to the model weights, parameters, related source code, documentation, and any accompanying materials, developed and provided by Midea (hereinafter referred to as the "Licensor").
+"You" refers to any individual or entity that acquires, uses, or reproduces this model.
+"Generated Works" refers to any output, result, content, data, or derivative work produced directly or indirectly by running, invoking, or using this model in any other way.
+"Contributor" refers to any individual or entity that submits modifications, additions, or other contributions to this model or its complementary materials.
+"Complementary Materials": refers to sample code, scripts, tools, documentation, or other materials provided with or for use with this Model.
+2. Grant of License
+Subject to your compliance with all the terms of this Agreement, the Licensor hereby grants you a global, royalty-free, non-exclusive, non-transferable, and non-sublicensable license solely for non-commercial purposes such as research, study, testing, and personal entertainment.
+Use: You may copy, use, and run this Model.
+Distribution or Modification: You may distribute the original or modified versions of the source code or compiled form of this Model, or modify this Model, but you must include a copy of this Agreement.
+3. Intellectual Property License
+3.1 Copyright License
+The Licensor and contributors to this model, under the terms of this Agreement, grant you a worldwide, non-exclusive, royalty-free, irrevocable copyright license to reproduce, prepare, publicly display, publicly perform, and distribute this model, its accompanying materials, and derivative works based on this model.
+3.2 Patent License
+The Licensor and contributors to this model, under the terms of this Agreement and to the extent applicable, grant you a worldwide, non-exclusive, royalty-free, irrevocable (except as stated in this section) patent license to use this model and its accompanying materials, but only for the non-commercial purposes explicitly allowed in Section 2 and Section 4.1 of this Agreement. This patent license explicitly excludes any offer for sale, sale, import, or transfer for commercial purposes.
+If you bring a patent action against any entity (including cross-claims or counterclaims in a lawsuit), alleging that the model and/or complementary materials or contributions contained therein constitute direct or indirect patent infringement, then all patent licenses granted to you under this agreement for the model and/or complementary materials shall terminate as of the date of such action or submission.
+3.3 Trademark Rights Limitation
+No provision of this agreement grants you the right to use the licensor's trademarks, trade names, logos, or to imply any endorsement by the licensor or misrepresent the relationship between the parties. All rights not expressly granted under this agreement are reserved by the licensor. You shall not use "Midea" or "美的" and their related logos, trademarks, product names, or any other names or marks that could cause the public to confuse them with official Midea Group products or services, unless you have obtained a separate written authorization from the Midea Group.
+4. Core Restrictions and Conditions
+4.1 Non-Commercial Use
+You shall not use this model or any derivative works based on this model for any commercial purposes, including but not limited to:
+1) Integrating this model into any commercial product or service;
+2) Providing paid services to any third party using this model;
+3) Using this model for activities that directly or indirectly generate revenue.
+4.2 Model Disclaimer
+The model is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall the licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, loss of data, loss of profits, or business interruption) arising out of or in connection with the use or inability to use the model, even if advised of the possibility of such damages.
+4.3 Disclaimer of Generated Content
+The Licensor shall not be liable for any outputs generated by this model. You understand and agree:
+1) The outputs are entirely produced by your use of this model, and the Licensor has not participated in their creation.
+2) The Licensor makes no express or implied representations or warranties regarding the accuracy, completeness, utility, legality, security, or any other aspects of any outputs.
+3) You will be fully responsible for all outputs generated through your use of this model, and ensure that your use of the outputs complies with all applicable laws and regulations. You will be solely responsible for resolving and bearing any disputes, claims, or losses arising from the outputs, and the Licensor shall not be responsible in any manner.
+5. Prohibited Use
+You may not use this model for:
+1) Generating or engaging in any illegal, harmful, fraudulent, defamatory, or content or activities that infringe on the privacy or intellectual property rights of others.
+2) Developing or deploying any system that may cause harm to individuals, groups, or society.
+3) Any purpose that violates public order and good morals or relevant laws and regulations.
+6. Other Terms
+Termination: If you breach any terms of this agreement, the rights granted to you under this agreement will terminate automatically.
+Agreement Integrity: This agreement constitutes the entire agreement between you and the licensor regarding the licensing of this model.
+Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect.
