+本《许可协议》（以下简称“本协议”）是您与【北京地平线信息技术有限公司】（以下简称“地平线”）之间订立的具有法律约束力的协议。本协议约定您访问、下载、复制、修改、使用或以其他方式获取地平线提供的算法及参考示例的相关权利和义务。
+This Algorithm and Reference Examples License Agreement (the "Agreement") is a legally binding agreement between you and 【Full Legal Name of Company】 ("Horizon"). This Agreement sets forth the terms and conditions governing your access to, download, copying, modification, use of, or other access to the Algorithm and Reference Examples provided by  Horizon.
+地平线仅在您接受并遵守本协议全部条款的前提下，向您授予本协议项下相应的使用权。
+Horizon grants you the rights set forth in this Agreement subject to your acceptance of and compliance with all terms and conditions of this Agreement.
+您通过点击“同意”“接受”或具有类似含义的按钮，或者通过访问、下载、复制、修改、运行、使用算法或参考示例，或以其他方式行使本协议项下任何权利，即表示您已充分阅读、理解并同意接受本协议全部条款，并同意受本协议约束。
+By clicking "Agree," "Accept," or any similar button, or by accessing, downloading, copying, modifying, running, using the Algorithm or Reference Examples, or otherwise exercising any right under this Agreement, you acknowledge that you have read, understood, and agreed to be bound by all terms and conditions of this Agreement.
+如您不同意本协议的全部或任何条款，请勿访问、下载、复制、修改、运行、使用或以其他方式获取算法或参考示例。
+If you do not agree to all or any part of this Agreement, do not access, download, copy, modify, run, use, or otherwise obtain the Algorithm or Reference Examples.
+如您代表公司、机构或其他法律实体接受本协议或使用本协议项下内容，您声明并保证您具有充分、合法及有效的授权代表该实体接受本协议。在此情况下，本协议中的“您”或“用户”均指代您所代表的该公司、机构或其他法律实体。
+If you accept this Agreement or use any content under this Agreement on behalf of a company, organization, or other legal entity, you represent and warrant that you have sufficient,lawful,and valid authority to bind such entity to this Agreement. In such case, "you" or "User" shall refer to such company, organization, or other legal entity.
+1. 定义 Definition
+a.	“知识产权”指任何国家/地区的法律规定的知识产权和其他无形权利，包括但不限于：专利（发明专利、实用新型专利和外观设计专利等）、著作权（包括财产权利和精神权利）、商标、商品名称、包装、装潢、数据、数据库、商业秘密、保密信息、技术诀窍、专有技术等。而且每种情况下，无论权利已注册或未注册；包括进行申请、被授予、续展或延期、要求优先权的权利；以及所有现在和未来的类似或等效的权利。
+ "Intellectual Property Rights" means all intellectual property rights and other intangible rights stipulated by the laws of any jurisdiction, including but not limited to patents (invention patents, utility model patents, design patents, etc.), copyrights (including property rights and moral rights), trademarks, trade names, packaging, decoration, data, databases, trade secrets, confidential information, know-how, proprietary technology, regardless of whether the rights are registered or unregistered. Without limiting the foregoing, the Intellectual Property Rights hereunder also include the rights to apply, be granted, renewed, or extended, and to claim priority, as well as all present and future similar or equivalent rights.
+b.	“算法”指地平线通过本网站或其他指定渠道提供的算法、模型、软件代码及相关技术文档等内容。除非本协议另有明确约定，“算法”不包括“参考示例”，但算法可能包含、集成或依赖第三方开源软件，该等第三方开源软件不当然构成地平线授予许可的内容，���适用相应的第三方许可证。
+"Algorithm" means the algorithms, models, software code, and related technical documentation and materials made available by Horizon through this website or other designated channels. Unless expressly provided otherwise in this Agreement, the Algorithm does not include the Reference Examples. However, the Algorithm may contain, incorporate, or depend upon third-party open-source software, which does not, solely by virtue of its inclusion in or integration with the Algorithm, constitute proprietary content of Horizon licensed hereunder, and shall instead be governed by the terms and conditions of the applicable third-party open-source licenses.
+c.	“参考示例”指地平线为展示、说明或验证算法的功能、性能、效果或使用方式而提供的相关材料，包括但不限于数据集及其衍生的权重文件、示例代码、使用文档等。参考示例可能包含或涉及第三方材料，该等第三方材料不当然构成本协议项下的许可内容。
+"Reference Examples" means materials provided by Horizon for demonstrating, illustrating, or validating the functionality, performance, results, or usage of the Algorithm, including without limitation datasets and derived weight files, example code, usage documentation, and other related materials. The Reference Examples may contain or involve third-party materials. Such third-party materials shall not, by virtue of their inclusion in or use in connection with the Reference Examples, be deemed to constitute materials licensed under this Agreement.
+d.	“开源软件”指地平线在算法开发过程中所引入的第三方软件，具有独立的许可证。
+“Open-Source Software” means the third-party software introduced by Horizon during the development of the Algorithm, each subject to its own license.
+2. 许可 License
+a.	算法：在您遵守本协议全部条款的前提下，地平线授予您一项永久的、非排他的、全球范围内的、免许可费的许可，使得您可以：（a）安装、使用算法的副本；（b）复制、修改算法；（c）将算法与您自己的软件或产品进行集成或合并。
+Algorithm. Subject to your compliance with all terms of this Agreement, Horizon grants you a perpetual, non-exclusive, worldwide, royalty-free license to (a) install and use copies of the Algorithm; (b) reproduce and modify the Algorithm; (c) integrate or combine the Algorithm with your own software or products.
+b.	参考示例：在您遵守本协议全部条款的前提下，地平线授予您一项有限的、非排他的、不可转让、不可再许可、可随时撤销的许可，使得您可以仅为内部使用安装、使用参考示例。为本协议之目的，“内部使用”是指您或您所在单位内部为自身业务目的进行的安装、运行及验证，不包含向任何第三方提供、披露或使其可获取参考示例的任何行为。
+Reference Examples. Subject to your compliance with all terms of this Agreement, Horizon grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable (at any time) license to install and use the Reference Examples solely for internal use purposes. For the purposes of this Agreement, “Internal Use” means the installation, running and validation of the Reference Examples by you or within your organization for Your own business purposes, and shall not include any act of providing, disclosing, or making the Reference Examples available to any third party.
+c.	除本协议第2.a和第2.b条明确授予您的许可外，本协议的任何内容都不应被理解为以明示、默示，或任何其它方式向您许可或转让任何所有权、知识产权或其它权益。地平线保留所有未明确授予您的权利。
+ Except for the license expressly granted to you in Article 2.a and 2.b hereof, nothing in this Agreement shall be construed as licensing or transferring any ownership, Intellectual Property Rights or other interests to you by  express,implied or any other means. Horizon reserves all rights not expressly granted to you.
+3. 开源软件 Open-Source Software 
+a.	如算法包含开源软件组件，您在使用开源软件时，应遵守适用于该等开源软件的全部适用许可证条款。
+If the Algorithm contains any open-source software components, you shall comply with all applicable license terms governing such open-source software in your use thereof.
+b.	如本协议与适用于特定第三方内容的许可证或授权条件存在冲突，就该等第三方内容而言，以相应许可证或授权条件为准。
+In the event of any conflict between this Agreement and a license or authorization applicable to specific third-party content, such license or authorization shall prevail with respect to such third-party content.
+4. 第三方材料 Third-Party Materials
+a.	您理解并同意，参考示例可能涉及由第三方拥有或提供的数据、数据集或其他材料（以下统称“第三方材料”）。除非地平线明确书面说���，否则，第三方材料不构成本协议项下地平线向您授予许可的内容。本协议项下授予您的任何许可均不应被解释为地平线向您授予任何第三方材料的任何所有权、知识产权或其他权利。
+You understand and agree that the Reference Examples may involve data, datasets, or other materials owned or provided by third parties (collectively, the “Third-Party Materials”). Unless expressly stated otherwise by Horizon in writing, the Third-Party Materials are not licensed to you under this Agreement. No license granted under this Agreement shall be construed as granting you any ownership, Intellectual Property Rights, or other rights in or to any Third-Party Materials.
+b.	如您拟使用任何第三方材料，您应自行确认该等第三方材料的权利状态及适用的许可条件，并自行取得使用该等第三方材料所需的全部授权、许可或同意。您使用第三方材料时，应遵守相关权利人、许可方或适用法律法规规定的全部适用条款和条件。因您使用第三方材料而产生的任何责任、争议、索赔、损失或费用，应由您自行承担。
+If you intend to use any Third-Party Materials, you shall independently verify the rights status of such Third-Party Materials and the applicable license terms, and obtain all authorizations, licenses or consents necessary for your use thereof.Your use of any Third-Party Materials shall be subject to all applicable terms and conditions imposed by the relevant rights holders, licensors,or applicable laws and regulations. You shall be solely responsible for any liabilities, disputes, claims, losses,or expenses arising out of or in connection with your use of any Third-Party Materials.
+5. 使用限制 Limitations
+以下限制适用于您对算法及参考示例的使用。如您未遵守，您对因此引起的后果自行承担全部责任。
+The following limitations and restrictions apply to your use of the Algorithm and the Reference Examples. You are solely responsible for the consequences of non-compliance.
+a.	 您不得从算法或者参考示例上去除、更改或遮盖任何版权或其他专有权利的声明或标签。
+You shall not remove, alter, or obscure any copyright or other proprietary rights notices or markings from the Algorithm and Reference Examples.
+b.	您不得利用算法或参考示例用以支持任何针对地平线、地平线的关联方、地平线的供应商，以及其各自客户的任何索赔、诉讼、仲裁或其他法律程序，也不得对地平线、地平线的关联方、地平线的供应商，及其各自客户的已注册或已申请的知识产权（包括但不限于已授权专利、申请中专利）提出可能破坏或影响该等知识产权效力的申请。
+You shall not utilize the Algorithm or Reference Examples to support any claims, lawsuits, arbitrations, or other proceedings against Horizon, Horizon's Affiliates, Horizon's suppliers, and their respective customers, nor file any applications that may undermine or affect the validity of the registered or applied Intellectual Property Rights of Horizon, Horizon's Affiliates, Horizon's suppliers, and their respective customers.
+c.	如您获得了参考示例的授权，您还需遵守以下额外限制：
+ If you have been granted a license to the Reference Examples, you must also comply with the following additional restrictions:
+i.	禁止对外披露与分发。 您不得以任何形式向任何第三方出售、出租、再许可、转让、分发、披露或提供参考示例的全部或部分内容。您仅可将参考示例用于内部使用。您应确保任何授权用户已书面同意遵守本协议的全部约束，且您对其违反本协议的行为承担连带责任。
+Prohibition on Disclosure and Distribution. you shall not sell, rent, sublicense, transfer, distribute, disclose, or provide all or any part of the Reference Examples to any third party in any form. you may only use the Reference Examples for Internal Use. you shall ensure that any Authorized User has agreed to comply with all terms of this Agreement, and you shall be jointly and severally liable for any breach of this Agreement by such Authorized Users.
+6. 保密义务 Obligation of Confidentiality
+a.	您应将参考示例作为受限内容进行管理，并采取合理、必要的技术和管理措施，防止未经授权的人员访问、获取、复制、披露、传播或使用参考示例。
+You shall treat the Reference Examples as restricted materials and implement reasonable and necessary technical and organizational measures to prevent unauthorized access, acquisition, reproduction, disclosure, distribution, or use of the Reference Examples.
+b.	如您发现或合理怀疑发生参考示例泄露、未经授权访问、复制、披露、传播或其他安全事件，应及时通知地平线，并采取合理措施防止影响进一步扩大。
+If you become aware of or reasonably suspect any unauthorized access, reproduction, disclosure, distribution, or other security incident involving the Reference Examples, you shall promptly notify Horizon and take reasonable measures to prevent further impact.
+7. 用户责任 User Responsibilities
+a.	您应保证对算法及参考示例的使用符合本协议、适用法律法规以及适用于相关内容的第三方许可证、授权文件或其他权利要求。
+You shall ensure that your use of the Algorithm and Reference Examples complies with this Agreement, applicable laws and regulations, and any third-party licenses, authorization documents, or other applicable requirements relating to the relevant materials.
+b.	 因您违反本协议、超出授权范围使用算法或参考示例、未经授权向第三方披露或提供参考示例，或违反适用法律法规，导致地平线或其关联方遭受任何第三方索赔或损失的，经地平线要求，您应为地平线及其关联方进行抗辩，并赔偿其因此遭受的全部损失及合理费用，包括但不限于第三方索赔金额、合理的律师费、诉讼及仲裁费用、调查费用。
+If any third-party claim or loss is asserted against or incurred by Horizon, its Affiliates, or their respective directors, officers and employees as a result of your breach of this Agreement, use of the Algorithm or Reference Examples beyond the authorized scope, unauthorized disclosure or provision of the Reference Examples to any third party, or violation of applicable laws or regulations, you shall, at Horizon's request, defend them against such claim and indemnify and hold them harmless from all losses and reasonable expenses arising therefrom, including without limitation the amounts claimed by such third party, reasonable attorneys' fees, litigation and arbitration costs, and investigation expenses.
+8. 免责声明 Disclaimer
+a.	算法及参考示例均按照“现状”和“现有基础”提供。
+THE ALGORITHM AND REFERENCE EXAMPLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
+b.	在适用法律允许的最大范围内，地平线不对算法或参考示例作出任何明示或默示的声明或保证，包括但不限于关于准确性、完整性、可靠性、无错误、不侵权、适销性或适用于特定用途的任何保证。
+TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORIZON MAKES NO REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF ACCURACY, COMPLETENESS, RELIABILITY, ERROR-FREE OPERATION, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
+c.	您应自行判断算法及参考示例是否适用于其具体使用场景，并自行承担使用相关内容所产生的风险。
+YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER THE ALGORITHM AND REFERENCE EXAMPLES ARE SUITABLE FOR YOUR SPECIFIC USE CASE AND FOR ANY RISKS ARISING FROM YOUR USE OF SUCH MATERIALS.
+d.	在任何情况下，地平线不对您因使用或无法使用算法及参考示例的部分或全部而遭受的任何直接性、间接性、后果性、附带性或惩罚性的损失损害承担任何责任，包括但不限于收入损失、利润损失、数据灭失或商业中断导致的损失、采购替代商品或服务的费用、有关知识产权侵权或不正当竞争等第三方索赔，即使您已事先告知地平线该等损失损害发生的可能性。
+UNDER NO CIRCUMSTANCES SHALL HORIZON BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL,OR PUNITIVE DAMAGES SUFFERED BY YOU ARISING FROM THE USE OR INABILITY TO USE PART OR ALL OF THE ALGORITHM AND REFERENCE EXAMPLES, INCLUDING BUT NOT LIMITED TO LOSSES FOR LOST REVENUE, PROFITS, DATA OR BUSINESS INTERRUPTION, COSTS OF PROCURING SUBSTITUTE GOODS, AND THIRD-PARTY CLAIMS RELATING TO INTELLECTUAL PROPERTY INFRINGEMENT OR UNFAIR COMPETITION, AND EVEN IF HORIZON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
+9. 反馈 Feedback
+您可以将与该算法及参考示例有关的建议、请求、修改、完善或其他反馈（统称为“反馈”）提供给地平线及其关联方，但并无义务这么做。如果您提供反馈，则该反馈相关的知识产权均归属于地平线。
+You may, but are not obligated to, provide suggestions, requests, modifications, improvements, or other feedback related to this Algorithm and Reference Examples (collectively referred to as "Feedback") to Horizon or a Horizon Affiliate. If you provide Feedback, the relevant Intellectual Property Rights thereof shall belong to Horizon. 
+10. 终止 Termination
+a.	如果您未能遵守本协议中的任何条款，或者您基于该算法和参考示例启动或参与了针对地平线、地平线关联方及/或地平线客户的任何法律诉讼、仲裁，则地平线有权立即单方终止本协议。一旦本协议终止，您必须立即停止使用算法及参考示例。
+If you fail to comply with any terms of this Agreement, or if you initiate or participate in any lawsuits, arbitrations, or any legal  action against Horizon, its Affiliates, and/or its customers based on the  Algorithm and the Reference Examples, Horizon is entitled to immediately and unilaterally terminate this Agreement. You must cease using in your possession once the Agreement is terminated.
+b.	本协议终止后，您仍需遵守保密义务，不得披露地平线保密信息。
+Confidentiality obligations survive termination.
+c.	 本协议终止不影响违约方因违反协议而产生的任何赔偿责任。
+Termination does not affect liability for damages arising prior to termination.
+11. 贸易合规 Export Control Compliance
+a.	您同意并承诺：（i）严格遵守中国和包括欧盟各国、美国在内的所有适用的进出口管制及经济制裁相关的法律法规（统称“贸易管制法律法规”，包括但不限于美国《出口管理条例》（EAR）等）；及（ⅱ）不违反贸易管制法律法规关于物项、目的地、最终用户、最终用途的限制性规定。
+You agree and undertake (i) to strictly comply with all applicable laws and regulations relating to import and export control and economic sanctions, including China, the European Union and the United States of America (collectively referred to as "Trade Control Laws and Regulations", including but not limited to the Export Administration Regulations (EAR) of the U.S. government); and (ii) not to violate the restrictive provisions of Trade Control Laws and Regulations on items, destinations, end users, and end uses.
+b.	通过接受本协议，您确认您不是受制裁国家/地区的居民或公民，且您未被禁止接收算法及参考示例。
+By accepting this Agreement, you confirm that you are not a resident or citizen of any sanctioned countries/regions and that you are not otherwise prohibited from receiving the Algorithm and the Reference Examples.
+c.	如果根据监管机构或地平线要求需要进行出口管制合规检查，您在收到要求后，应及时根据检查要求提供有关的最终用户、目的地和用途等信息，配合合规检查。
+If required by authorities or Horizon to conduct an export control compliance review, you shall, upon receipt of such request, promptly provide authorities or Horizon with information regarding the end users, destinations, and end uses related, and cooperate with the compliance review. 
+d.	尽管本协议有任何其他规定，如您违反出口管制法律法规，或您及/或您的关联方被列入相关政府禁止参与出口活动的任何个人或实体名单（统称“制裁名单”），地平线有权立即单方终止本协议。一旦本协议终止，您必须停止使用并销毁您拥有的所有算法及参考示例相关副本。
+Notwithstanding any other provisions of this Agreement, Horizon has the right to terminate this Agreement immediately and unilaterally in the event that you violate Export Control Laws and Regulations, or you and your Affiliates are listed on any sanction lists of individuals or entities prohibited by the relevant government from engaging in export activities (collectively "Sanction Lists"). You shall immediately cease to use the Algorithm and Reference Examples and destroy all copies of the Algorithm and the Reference Examples in your possession once the Agreement is terminated.
+12. 适用法律和管辖权 Laws and Jurisdiction
+本协议的订立、效力、解释、履行、争议的解决等适用中华人民共和国法律法规的有关规定，且排除法律冲突原则及《联合国国际货物销售合同公约》的适用。双方同意如有任何争议，应彼此友好协商解决。如协商不能解决，任一方可以提请北京仲裁委员会（“BAC”）按照该会现行仲裁规则进行仲裁。仲裁地在北京，仲裁裁决是终局的，对您和地平线均有约束力。
+The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws and regulations of the People's Republic of China, without giving effect to any principles of conflict of laws. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.Both parties agree that any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation between the parties. If the dispute cannot be resolved through such consultation, either party may submit the dispute to the Beijing Arbitration Commission ("BAC") for arbitration in accordance with its arbitration rules currently in effect. The seat of arbitration shall be Beijing. The arbitral award shall be final and binding upon both you and Horizon.
+13. 其他 Others
+a.	关于算法及参考示例的授权使用事宜，双方同意本协议构成双方之间的完整且排他的协议，并取代双方之间就该事宜做出的任何口头或书面沟通、承诺。任何附加或不同的条款或条件对双方均不具有约束力且无效。
+Regarding the subject matter of this Agreement, the parties agree that the Agreement constitutes the entire and exclusive agreement between the parties regarding the use and supply of the Algorithm and the Reference Examples and supersedes all prior and contemporaneous communications and commitments. Any additional or different terms or conditions will not be binding and are null and void.
+b.	本协议有任何条款因任何原因不可执行、不合法或无效，概不影响本协议其他条款。
+If any provision of this Agreement is unenforceable or invalid for any reason, it shall not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect. 
+c.	本协议有中文和英文两个版本。如中英文意思不一致的，以中文版本为准。
+This Agreement is available in both Chinese and English versions. In case of any inconsistency between the two versions, the Chinese version shall prevail.
