+TERMS AND CONDITIONS FOR USE, REPRODUCTION, AND DISTRIBUTION
+
+1. Definitions.
+
+"License" shall mean the terms and conditions for use, reproduction, and distribution as defined by this document.
+
+"Licensor" shall mean mii-llm.
+
+"Legal Entity" shall mean the union of the acting entity and all other entities that control, are controlled by, or are under common control with that entity. For the purposes of this definition, "control" means (i) the power, direct or indirect, to cause the direction or management of such entity, whether by contract or otherwise, or (ii) ownership of fifty percent (50%) or more of the outstanding shares, or (iii) beneficial ownership of such entity.

+"You" (or "Your") shall mean an individual or Legal Entity exercising permissions granted by this License.
+
+"Model" shall mean the machine learning model, including its weights, parameters, configuration files, and any associated documentation made available under this License.
+
+"Derivative Works" shall mean any work that is based on (or derived from) the Model, including but not limited to fine-tuned versions, merged models, distilled models, or any modification of the Model's weights or architecture.
+
+"Commercial Use" shall mean any use of the Model or Derivative Works for direct or indirect commercial advantage or monetary compensation, including but not limited to: (i) integration into commercial products or services; (ii) use in production environments serving paying customers; (iii) use to generate revenue directly or indirectly.
+
+"Production Deployment" shall mean any deployment of the Model or Derivative Works in a live environment that serves end users, processes real data, or is integrated into operational systems, regardless of whether such deployment is for Commercial Use.
+
+"Research Use" shall mean use of the Model solely for academic research, personal experimentation, educational purposes, or non-commercial evaluation, where results are not directly used in Production Deployment.
+
+"Revenue Threshold" shall mean annual gross revenue of one hundred thousand United States dollars ($100,000 USD) or one hundred thousand euros (€100,000 EUR), whichever is applicable based on the primary currency of the Legal Entity's financial reporting.
+
+"Qualified Non-Profit Organization" shall mean a Legal Entity that is organized and operated exclusively for religious, charitable, scientific, literary, or educational purposes, and which qualifies as a non-profit organization under the applicable laws of its jurisdiction, including but not limited to organizations recognized under EU Member State laws governing charitable or public benefit entities.

+2. Grant of License for Research Use.
+
+Subject to the terms and conditions of this License, Licensor hereby grants to You a perpetual, worldwide, non-exclusive, no-charge, royalty-free license to use, reproduce, modify, and create Derivative Works of the Model for Research Use only.
+
+
+3. Citation Requirement.
+
+Any use of the Model or Derivative Works, whether for Research Use, Commercial Use, or Production Deployment, MUST include proper attribution and citation. You must:
+
+(a) Cite the Model in any academic papers, publications, or technical reports that use or reference the Model or its outputs;
+
+(b) Include a prominent notice in any software, application, or service that incorporates the Model or Derivative Works, stating: "This product uses Nesso-4B by mii-llm, licensed under the Mii Open License v1.0";
+
+(c) Retain all copyright notices, attribution statements, and this License in any redistribution of the Model or Derivative Works;
+
+(d) When distributing Derivative Works, clearly indicate that modifications have been made and provide attribution to the original Model.
+
+Failure to comply with these citation requirements constitutes a material breach of this License.
+
+
+4. Production Deployment Restriction.
+
+(a) Production Deployment of the Model or any Derivative Works requires PRIOR WRITTEN PERMISSION from the Licensor, regardless of whether such deployment is for Commercial Use.
+
+(b) To request permission for Production Deployment, You must contact the Licensor at with the following information:
+    (i) Description of the intended use and deployment environment;
+    (ii) Expected scale of deployment (users, requests, etc.);
+    (iii) Whether the deployment involves Commercial Use;
+    (iv) Your organization's annual gross revenue (if applicable).
+
+(c) The Licensor reserves the right to grant or deny permission for Production Deployment at its sole discretion, and may impose additional terms or conditions.
+
+(d) Any Production Deployment without prior written permission is a material breach of this License and all rights granted hereunder shall terminate immediately.
+
+
+5. Commercial Use Limitation.
+
+(a) Commercial Use of the Model or Derivative Works by any Legal Entity with annual gross revenue meeting or exceeding the Revenue Threshold requires:
+    (i) Prior written permission from the Licensor as specified in Section 4; AND
+    (ii) A separate commercial license agreement with the Licensor.
+
+(b) Legal Entities below the Revenue Threshold must still obtain prior written permission for Production Deployment as specified in Section 4, but may be granted permission without a separate commercial license at the Licensor's discretion.
+
+(c) The Revenue Threshold applies to the total annual gross revenue of the Legal Entity, including all parent companies, subsidiaries, and affiliates under common control.
+
+(d) Qualified Non-Profit Organizations are exempt from the Revenue Threshold requirement but must still obtain prior written permission for Production Deployment.
+
+
+6. Redistribution.
+
+You may redistribute the Model or Derivative Works, provided that:
+
+(a) You include a complete copy of this License with any distribution;
+
+(b) You comply with all citation requirements in Section 3;
+
+(c) You clearly indicate any modifications made to the original Model;
+
+(d) You do not grant rights to recipients that exceed those granted to You under this License;
+
+(e) You include a prominent notice that Production Deployment requires prior written permission from the Licensor.
+
+
+7. Prohibited Uses.
+
+The following uses of the Model or Derivative Works are expressly prohibited:
+
+(a) Any use that violates applicable laws or regulations, including but not limited to EU regulations;
+
+(b) Any use intended to harm, deceive, or manipulate individuals;
+
+(c) Any use for surveillance, military applications, or weapons development;
+
+(d) Any use that infringes on the rights of third parties;
+
+(e) Removing, altering, or obscuring any attribution notices or license terms.
+
+
+8. Trademarks.
+
+This License does not grant permission to use the trade names, trademarks, service marks, or product names of the Licensor, except as required for reasonable and customary use in describing the origin of the Model and complying with the citation requirements of Section 3.
+
+
+9. Disclaimer of Warranty.
+
+THE MODEL IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR MAKES NO WARRANTY THAT THE MODEL WILL BE ERROR-FREE, ACCURATE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE MODEL.

+10. Limitation of Liability.
+
+IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE MODEL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

+11. Termination.
+
+(a) This License and all rights granted hereunder will terminate automatically and immediately if You fail to comply with any of its terms and conditions.
+
+(b) Upon termination, You must immediately cease all use of the Model and any Derivative Works and destroy all copies in Your possession or control.
+
+(c) Sections 3, 8, 9, 10, and 11 shall survive any termination of this License.
+
+
+12. Governing Law and Jurisdiction.
+
+(a) This License shall be governed by and construed in accordance with the laws of the Italian Republic.
+
+(b) Any disputes arising out of or in connection with this License shall be subject to the exclusive jurisdiction of the courts of Italy.
+
+(c) Nothing in this License shall limit any rights You may have under applicable consumer protection laws or other mandatory provisions of law that cannot be waived by agreement.
