| Upon termination: | |
| 1. All access must cease immediately | |
| 2. All materials must be returned or destroyed | |
| 3. All copies must be permanently deleted | |
| 4. Confidentiality obligations remain in effect | |
| INTELLECTUAL PROPERTY | |

| All rights, title, and interest in the Licensed Materials remain with the Licensor. | |
| This license does not grant any ownership rights. The Licensed Materials are: | |
| - Proprietary and confidential | |
| - Protected by copyright and trade secret laws | |
| - Subject to patent applications | |
| - Covered by international intellectual property treaties | |
| LIABILITY AND INDEMNIFICATION | |

| 1. THE LICENSED MATERIALS ARE PROVIDED "AS IS" WITHOUT WARRANTIES | |
| 2. LICENSOR SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER | |

| to conflict of law principles. Any disputes shall be resolved in the courts | |
