Customer Intent Prediction Model License Agreement

1. License Grant
|
| 4 |

Subject to the terms and conditions of this Agreement, Samman Amgain(owner) ("Licensor") hereby grants [Licensee] a non-exclusive, non-transferable, and revocable license to use the Customer Intent Prediction Model ("Model") solely for internal business purposes.

2. Restrictions

Licensee shall not:

|
| 9 |
+
Distribute, sublicense, lease, rent, or otherwise transfer the Model to any third party.
|
| 10 |

Reverse engineer, decompile, or disassemble the Model.
|
| 11 |
+
Use the Model for any unlawful or unethical purposes.
|
| 12 |
+
Use the Model in any manner that could harm Licensor's reputation or business.
|

3. Ownership

The Model is the sole and exclusive property of Licensor. Licensee acknowledges that it does not acquire any ownership rights in the Model under this Agreement.

4. Updates and Maintenance

Licensor is not obligated to provide any updates, maintenance, or support for the Model. Any updates provided will be subject to the terms of this Agreement.

5. Confidentiality

Licensee agrees to keep the Model and any related documentation confidential and not disclose it to any third party without the prior written consent of Licensor.

6. Warranty Disclaimer

THE MODEL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE MODEL WILL MEET LICENSEE'S REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE MODEL, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement at any time if Licensee breaches any of its terms. Upon termination, Licensee must cease all use of the Model and destroy any copies in its possession.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous understandings regarding such subject matter.
