1. GRANT OF LICENSE
|

Subject to the payment of the one-time license fee, the Developer grants the Licensee (the "Buyer") a perpetual, non-exclusive, worldwide license to:
|

A. Install and Run: Host, modify, and run the Source Code of the Software on the Buyer’s own private servers, local machines, or cloud infrastructure.
|
| 11 |

B. Commercial Use: Use the Software to generate unlimited audio assets for commercial purposes (including monetized content, ads, products, and social media).
|

2. OWNERSHIP OF OUTPUTS
|

A. The Buyer retains 100% ownership of all audio files and media assets generated using the Software.
|
| 15 |

B. The Buyer owes NO royalties to the Developer for revenue generated from these audio assets.
|

C. The Buyer is free to copyright, sell, or distribute the generated audio without restriction.
|

3. PROPRIETARY RIGHTS & RESTRICTIONS
|

The underlying architecture, the specific "Emotion Engine" prompt logic, and the interface design remain the intellectual property of the Developer.
|

The Buyer AGREES TO:
|

A. Internal Use Only: The Buyer may modify the source code for their own internal business needs.
|
| 23 |

B. NO Resale of Code: The Buyer SHALL NOT resell, redistribute, sub-license, or publish the Software's source code (in whole or in part) to third parties as a standalone product or template.
|

(Clarification: You may sell the Audio you make, but you cannot sell the App itself.)

4. INFRASTRUCTURE & API DEPENDENCY (BYO-KEY)
|

The Buyer acknowledges that the Software serves as an interface ("Wrapper") for third-party AI models (e.g., Pollinations.ai / OpenAI Audio).
|

A. API Costs: The License Fee covers the proprietary application logic and interface. It DOES NOT cover the cost of third-party API credits ("Pollens" or OpenAI Tokens).
|

B. Operational Responsibility: The Software includes a "Commercial Key Slot." The Buyer is solely responsible for obtaining and maintaining their own valid API keys from the respective providers to ensure continued operation.
|

C. Business Continuity: Since the Buyer holds a copy of the Source Code, the Buyer is protected against the Developer’s future business status. The Software will continue to function as long as the Buyer maintains valid API access.

5. LIMITATION OF LIABILITY

The Software and Source Code are provided "AS-IS." To the maximum extent permitted by law, the Developer shall not be liable for:

A. Downtime caused by third-party API outages (e.g., if OpenAI or Pollinations goes offline).
|
| 35 |
+
B. Any direct, indirect, or consequential damages arising from the use of the Software.
|

6. ACCEPTANCE
|

Payment of the invoice constitutes full acceptance of these terms.
